These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "Organization") and AgilePress Solutions LLC ("Company", "we", "our", or "us"), a limited liability company incorporated in New Mexico, USA, located at 1209 Mountain Rd Pl NE N, Albuquerque, NM 87110, governing your deployment and use of the TeamSigs email signature management software utility.
1. Account Access & Corporate Multi-Tenant Governance
To deliver zero-friction administration utility, the platform leverages secure passwordless 6-digit one-time password (OTP) authorization codes:
- The first user registering from an independent corporate email domain suffix (e.g., `@firmname.com`) who purchases a premium subscription layer is designated as the Workspace Administrator.
- Subsequent accounts registering under that exact synchronized domain suffix are attached automatically as Employees. Employees are restricted to editing personalized text string variable blocks, and are programmatically locked out of overriding the underlying standard HTML base layouts enforced by the workspace admin.
2. Commercial Terms, Stripe Subscriptions & Pricing Shifts
Premium subscription tiers are handled securely through our payment integration provider, Stripe. Subscription fees are billed automatically on a recurring monthly or annual schedule. You can manage payment profiles or terminate auto-renewals at any time through the integrated customer portal. AgilePress Solutions LLC reserves the right to modify pricing variables for subscription tiers; any long-term rate adjustments will be communicated to the Workspace Administrator at least thirty (30) days prior to execution.
3. Subscription & Service Scope
TeamSigs is offered as a single annual corporate subscription at a flat rate per registered organization domain. The subscription grants the designated Workspace Administrator access to deploy, manage, and distribute HTML email signatures to an unlimited number of authorized employees within the registered corporate domain. No per-seat pricing, tier-based restrictions, or user count caps apply. The platform does not include AI-generated content features; all signature templates are HTML-based and managed directly by the Workspace Administrator.
4. Content Liability & Absolute Indemnification
The Client retains full liability for all data values, trademarked logos, hosted graphic references, dynamic links, and disclaimer text blocks introduced into the editor layout. The Client guarantees they possess the required intellectual property rights, licenses, or authorizations to distribute such assets. The Client agrees to indemnify, defend, and hold harmless AgilePress Solutions LLC, its officers, directors, and employees, from and against any claims, losses, or demands arising out of trademark infractions, data leaks, or regulatory violations connected to content deployed via their corporate workspace.
5. Strict Warranty Disclaimer & Liability Caps
The software service is delivered strictly on an "as is" and "as available" foundation. AgilePress Solutions LLC disclaims all warranties, explicit or implied, including warranties of merchantability, fitness for a particular configuration, or non-interrupted uptime. In no event shall AgilePress Solutions LLC be liable for indirect, accidental, or consequential damages, including loss of profits or email rendering mismatches across legacy email software clients (e.g., Microsoft Outlook desktop). Our total aggregate liability under any circumstance connected to this contract shall be capped at the total amount paid by the Client to us during the three (3) months immediately preceding the event giving rise to the claim.
6. Governing Law & Exclusive Venue Choice
These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the State of New Mexico, USA, without regard to conflict of law principles. Any legal suit, arbitration, or proceeding arising under this agreement must be brought exclusively in the state or federal courts located in Bernalillo County, Albuquerque, New Mexico. Both parties submit to the personal and exclusive jurisdiction of these courts.
7. Integrated Data Processing Addendum (DPA)
This Section applies to the extent TeamSigs processes personal records of employees subject to international privacy frameworks (e.g., GDPR, CCPA/CPRA) on behalf of the Client. Here, the Client acts as the Data Controller, and AgilePress Solutions LLC acts as the Data Processor.
7.1 Processing Instructions: The Processor shall handle personal indicators (such as name, job titles, telephones, and email vectors) strictly for the purpose of generating, hosting, and optimizing email signature modules according to the explicit configuration instructions submitted by the Controller through the software web application workspace dashboard.
7.2 Security Measures: The Processor shall implement robust technical and structural security controls engineered to protect employee data rows against unauthorized access, accidental alteration, or leakage. Databases are isolated natively under tenant sandboxing protocols.
7.3 Sub-processors Consent: The Controller provides blanket authorization for the Processor to engage sub-processors (Stripe, Brevo, Resend) to deliver standard infrastructure operations, subject to the transparent disclosures outlined inside our active Privacy Policy.
7.4 Data Purging Contracts: Upon termination of this commercial agreement, or upon an explicit request sent via the central administrator tools, the Processor shall execute automated database truncation routines to remove all stored signature records and personal variables belonging to the tenant domain within thirty (30) business days, except where federal data retention mandates override erasure.
